TERMS OF SERVICE OF THE SUNDATE APP

1. INTRODUCTION TO THE SUNDATE USER WORLD

At this moment, this is the only edition of this document. All SunDate team will try to present all the rules for using (terms of service) our product as simply and concisely as the SunDate app itself.

Wherever you currently reside, this agreement applies between you and the SunDate team and generally the company SunDate Inc.

2. CONSENSUS REGARDING THE TERMS OF SERVICE SUNDATE

By downloading and registering in our application, i.e., creating an account, you automatically agree to these SunDate Terms of Service as well as all other norms and rules adopted by the SunDate team. All documents can be found on our website mentioned above.

We will try to make changes only for the better for both you and us, but to do so as infrequently as possible. We will try to notify you of changes to this document and other documents through our service.

Naturally, if you continue to use SunDate app after changes have been made to this or other documents, you automatically agree to these changes.

In general, nothing particularly complicated: use SunDate with pleasure, reasonably, and with respect to other users, and just enjoy it, because each of us has only one sunshine life right here right now.

3. LEGALITY OF SUNDATE SERVICE

To use SunDate, as we have mentioned many times in our other documents, you must first reach the age of eighteen (18 years old). So, by the standards of many countries, you must become an adult. And by registering in our SunDate application, you guarantee that at the time of registration, you are at least 18 years old.

You must also be competent, meaning you have the right to enter into legal agreements and be responsible for your actions, particularly with SunDate Inc. You must not be a person who, for one reason or another, is prohibited by US law or the laws of other countries from using our or other online dating services or gadgets and mobile applications in general.

You take on the responsibility and obligation to comply with all norms and laws of the USA and other countries, local and international laws, as well as just the customs of cultural communication and behavior.

You confirm that you are not a person who has been criminally convicted of sexual or other violent, fraudulent, or other crimes against others, and you do not need to register or be listed due to such crimes.

But most importantly, you guarantee all of the above and bear personal responsibility for non-compliance with the above and below conditions of this Agreement (Terms of Service).

4. LOG IN AND REGISTRATION ON SUNDATE

After downloading our application, you need to register. After registration, logging into the application and your account will occur automatically. Depending on where you downloaded the application, AppStore or GooglePlay, you can quickly register through your Apple ID or Google ID, or via your email.

The main thing is not to forget that only you are responsible for the security of your login credentials used to access SunDate and only you are responsible for the actions happening with your login credentials.

5. RELATIONSHIPS WITH THE USER AND TERMINATION OF THIS RELATIONSHIPS

The SunDate team works every day to improve our service. We cannot notify you of all changes, so by using our application, you automatically give consent and acceptance of such changes.

In case of necessity or violation of our rules, we have the right to block your account, and if necessary, delete it. You can also delete your account yourself by going to the application settings, finding the "Delete Account" section, clicking "YES" to delete and confirming the deletion. But we try our best to make sure that once you download our application, you stay with us forever, even if we help you meet the love of your life. After all, we can help you find not only love but also friendship, friends, and just help you have a good time online and offline.

As for purchases, at the moment, everything is free for you, and all our 5 (five) searching tools, but 6 (six) searching modes will remain free forever, because we are for love without borders.

But if you still delete your account, then in general, all agreements with SunDate Inc. cease to be valid except for those clauses that may affect our relationship even after you stop using our application. Thus, clauses 5, 6, and clauses 13 to 20 of these SunDate Terms of Service remain in effect.

6. YOUR RELATIONSHIPS WITH OTHER SUNDATE USERS

This clause is very important, and we ask you to pay close attention to it.

The SunDate team does everything possible to make the users' stay in our service as pleasant and safe as possible. So, account activation occurs only after the user records and uploads the first live video directly in our application, this algorithm excluding fake accounts. We invented dating cards so that you can immediately determine a safe meeting place and send the card to someone from your close friends so they know who and where you are going with. We do much more, but first of all, you are responsible for your safety. We cannot check users and tell you what is in their biography, so only you are responsible for choosing who to communicate with, who to respond to, and who to meet with.

Also, by starting to use SunDate, you automatically agree to the " Code of SunDate World" and undertake for your own safety to familiarize yourself with it. This and other documents can be found on our official website mentioned above.

We remind you, and you guarantee that you will not share any personal legal, financial, or other important information with other users. We recommend not communicating with those users who will ask you to provide such information or ask you for money or other financial assistance. Please notify us immediately about such users. Remember that you should help people either through charitable foundations or only those you know personally and whose problems you know personally. Take care of yourself, your data, and your money.

Only you are responsible for your relationships with other users; only you are responsible for your personal information. The SunDate Inc. does not guarantee the good faith behavior of other users, does not guarantee compatibility with them because it is the personal choice of each user, and does not check personal biographies, criminal records, medical, and psychological indicators.

However, with the help of all our tools, we strive to make the stay of each user in the SunDate world as comfortable, effective, and interesting as it possible.

7. SUNDATE GIVES YOU THE FOLLOWING RIGHTS

The SunDate team grants you the right, which is a license, for free individual non- exclusive revocable use and access to the SunDate service without sublicensing. These rights and licenses allow you to enjoy using our product.

Under this agreement, we provide you not only with rights but also impose some restrictions to ensure your and our safety. Thus, we list a number of restrictions, i.e., under this agreement and license, it is prohibited:

In case of violation of the above restrictions, we have the right to suspend your access to the SunDate service, block, or delete your account. We may also take any other action that we consider appropriate. You undertake to reimburse SunDate for all costs incurred as a result of your violation of this agreement and the limitations described here.

We also inform you that our SunDate product or any other software we provide to you may automatically download and store updates and new features.

8. SUNDATE GRATEFULLY ACCEPTS THE FOLLOWING RIGHTS FROM YOU

By downloading and creating an account in SunDate, you automatically transfer the following rights to the SunDate Inc. and our team, namely a non-exclusive, royalty-free, sublicensable, and transferable license to host, use, store, copy, display, adapt, modify, reproduce, and distribute the information you provide to the system or give access through third-party sites, as well as all the information you post, create, upload, display, or make publicly available for other subscribers. This right is exclusive only in the case of and with respect to materials created exclusively using SunDate. That is, the SunDate Inc. and our team has exclusive rights to the content created within the service. Although we protect our users' information and content from being copied or downloaded, just in case, you grant us the right to act on your behalf regarding violations of your content extracted from our service by third parties without your or our permission. We have the right to send appropriate notifications on your behalf to violators of your and our rights. Our right and permission to use your content is used solely for the purpose of ensuring the operation and functioning of SunDate, the development and modernization of the service, the provision of the highest quality services, as well as for research purposes for the development of new products and applications.

You also allow that by placing your content in SunDate, it can be viewed by all other users or other persons viewing the service or participating in its development or operation, including those who receive content as a forward from other SunDate users.

You solemnly swear and confirm that all the information you specify on our service is the pure truth and nothing but the truth, and that you have all the legal rights to create and place content on SunDate and have the right to grant us the above license and rights.

You give us the right and permission to check all the information and content that you upload and create in SunDate, as well as the right to delete or hide the relevant content if, in our opinion, it contradicts moral and ethical norms, laws, or the norms of the SunDate world in accordance with this agreement and other internal documents which you can read on our official website.

We ask you to follow the rules of decency and friendly communication when you correspond or talk with our support service or other employees. We make every effort to make your stay in the SunDate world pleasant, interesting, and effective, so we ask you to treat our employees with respect. If we deem your behavior unacceptable, we have the right to block your account or completely delete it from the SunDate App world.

We give you the right and opportunity to use our service, and you agree that we, our partners, and affiliates have the right to place advertisements on our service. If you have any suggestions, comments, or ideas and you send them to us, we become their copyright holders and can use them for any purpose without paying you monetary or other compensations.

In case we receive a court order, or if it is necessary to create conditions for the fulfillment of this agreement, or to ensure a claim regarding the infringement of third-party rights by your content, to respond to your support request, or to protect and ensure any rights or personal safety of the SunDate team, or the company SunDate Inc. and our product, or third parties, we have the right to obtain, disclose, or store information about your account and content if we believe that such obtaining, storage, and disclosure is carried out on a legal basis and for the benefit of the parties.

9. COMMUNITY RULES IN THE WORLD OF SUNDATE

Our rules are strict, but they exist to make your stay in the world of SunDate comfortable, engaging, and effective. Therefore, we need to implement a series of restrictions for all users to ensure harmony in the SunDate world

By downloading and registering with SunDate App, you automatically agree that you are prohibited from:

Using our app for purposes other than those intended, i.e., for purposes prohibited by these “Terms of Service”;

Using our app with malicious intent, for criminal purposes, or to harm other people and users;

Using our app to cause harm or damage to the team and the company SunDate Inc.;

Taking any actions that violate all our public documents, with which you automatically agree by downloading and registering with SunDate App and which you can review on our official website;

Sending spam to other users, soliciting money or other valuables from them, asking for personal information related to finances, insurance, business, or other highly personal matters;

Impersonating someone else, lying about yourself, create and publishing videos of other people against their will and without their consent;

Taking any actions that could harm other users both psychologically and physically, such as bullying, insulting, stalking, threatening, or humiliating other users, as well as spreading false, defamatory, and offensive information about them;

Creating and posting videos and photo that infringe on the rights of others, including the right to privacy, copyright and related rights, intellectual property rights, trademark or patent rights, and any other rights arising from this agreement;

Creating and posting video or photo content with threats, insults, or incitements to hatred or violence;

Creating and posting video or photo content of a sexual or pornographic nature, videos with nudity, videos depicting self-harm, harm to others, or animals;

Creating and posting video and photo content with elements of racism, hatred, intolerance, sexism, and other unfriendly and inhumane elements, including physical threats;

Soliciting or otherwise attempting to obtain financial or other personal data and using it for your own selfish, commercial, or other illegal purposes;

Distributing personal information of other users, personal data, or any other information entrusted to you by other users without their permission;

Creating more than one account, using another user's account, allowing others to use your account, or creating a new account after we have blocked and/or deleted your previous account for any reason without receiving our permission to create a new account.

The SunDate team has the absolute and complete right to conduct investigations and consequently block and delete your account without monetary reimbursement for previously made purchases or compensation for moral or other damages if you violate these SunDate “Terms of Service”, other public documents, or if you abuse our service. The SunDate team may determine and decide that your behavior, actions, and messages concerning other users within or outside the world of SunDate are in violation of the law and are simply unacceptable and immoral.

Be polite to each other, be tolerant and kind to each other, be considerate and respectful to each other, as respecting other people shows that you also respect yourself, and thus you are worthy of attention, friendship, and love from others.

10. RESPONSIBILITY FOR CONTENT IN SUNDATE

The responsibility for the content created and uploaded to SunDate lies solely with the user who uploaded this content. We check and, if necessary, delete content that does not comply with these SunDate “Terms of Service" but we cannot guarantee that we have been able to delete all such content and that the remaining content complies with these SunDate “Terms of Service". If you see content that violates these ethical norms and SunDate “Terms of Service", please inform us in any convenient way, such as by email or through our service.

11. PURCHASES IN SUNDATE

The SunDate team may occasionally offer you the option to make purchases within our service, that is, to buy a product or service, hereinafter referred to as “Purchases.” You can make purchases through the App Store, Google Play Store, mobile carrier, SunDate payment service, or any other payment service or platform that works with SunDate. To make a purchase, you must confirm the payment by first selecting a payment method and operator. By confirming the payment, you give the SunDate team and the payment operator permission to deduct the corresponding amount. The payment amount includes all fees and taxes.

In SunDate, we offer both one-time purchases of various additional features and subscription-based purchases. When purchasing a subscription-based product, the subscription automatically renews under the same conditions for the same period upon expiration, unless you cancel it. Thus, your payment details are stored for making further purchases and automatic renewal. You can, however, go to the SunDate settings or the settings of the third-party payment system to cancel the subscription. Upon cancellation and automatic card payment, the applicable payments will be charged.

If you disagree with a completed payment, you may contact us to dispute the payment if it was made directly through SunDate. Alternatively, you can contact the third-party service to dispute the payment if it was processed through them.

To cancel a subscription, you need to follow the instructions for cancellation both in SunDate and with the third-party payment provider. If you delete your account or the SunDate App, the subscription remains active, and payments will continue to be processed automatically until you cancel the subscription yourself. After cancellation, the subscription remains active for the period it was paid for and ends when the subscription period expires. You can continue to enjoy the subscription benefits until the end of its term, and no further payments will be charged thereafter.

When processing payments directly through SunDate, we have the right to change payment details and/or correct errors in payment information even after a payment request has been sent or the payment has been received. If you cancel a payment or initiate a refund using the chosen payment method, we have the right to terminate your account.

You can change your payment method at any time in the Settings section in SunDate App. If a payment fails in any way and you have not canceled the subscription or changed the payment method, you are responsible for the unpaid payments, and such payments will be processed by us once you update your payment method. You also grant us the right to obtain updated information about your credit card from the card issuer.

For completeness, the SunDate team outlines the terms for purchasing and owning virtual items. As we mentioned, all searching tools in our service are permanently available, but we may impose some usage restrictions without closing access to them. We may also create virtual items and coins that you can acquire and use within our SunDate service for exchanging for additional features and other products or for other purposes we provide and open for use within SunDate. By purchasing virtual items or coins, you receive a personal, limited, non-transferable, non-assignable right to use them, also known as a license, which cannot be sublicensed. The balance of virtual items or coins simply reflects the volume of your rights and your license. If we terminate your account, we automatically terminate the license for virtual items and coins, and you are not entitled to any reimbursement of their value. We can change the cost of virtual items and coins, distribute them for a fee and for free, as bonuses. We reserve the right to take any actions regarding virtual items and coins without your consent. We accept no responsibility to you or others for such actions. If you acquire and receive virtual items or coins through our SunDate service, such acquisition is final and non- refundable or compensable. You also acknowledge that the SunDate team and SunDate Inc. are not obligated to reimburse you for the cost of virtual items and coins or return their value in any other way if your account is voluntarily, forcibly, or otherwise closed, blocked, and/or deleted.

Regarding refunds, no purchases are reimbursed. Also, as mentioned earlier, funds spent on subscription purchases are non-refundable upon cancellation or account closure. Refunds are possible only if explicitly provided by the laws of your country and if such a request is made within fourteen days from the date of payment. The request will be reviewed by us, and a decision will be made.

For example, under the laws of the European Union and the European Economic Area, residents have the right to a refund of the subscription cost within fourteen days of submitting a corresponding request. This period starts from the subscription's commencement date.

If you made purchases through or using an Apple ID and the App Store by Apple Inc, refunds are processed through that service provided by Apple Inc.

If you made purchases through or using a Google ID (Google Play Store), refunds are processed through that service provided by Google LLC.

If purchases were made directly through SunDate, you can contact us directly via email or support service, adhering to the aforementioned timeframes and the laws of your country. Refunds will be issued using the same method as the payment was made.

If you made purchases through any other payment platform, you will need to contact the support service of that platform directly.

Purchases of virtual items and coins (tokens) are final and non-refundable or returnable.

The SunDate Inc. and our team reserves the right to apply any pricing policy at its discretion. As we expand our services worldwide, prices may vary depending on the country of operation. However, we will strive to ensure that our pricing policy fully satisfies you and that you receive top-level service for reasonable price.

12. RESOLVING COPYRIGHT INFRINGEMENT ISSUES IN SUNDATE

If you believe that your copyright or the copyright of the person or organization you represent has been infringed, please contact us immediately in any convenient way.

You can reach us through social media or email, which are listed on our official website.

As part of our cooperation to address copyright infringement, we ask you to provide the following information: the type of copyright, the copyright holder, proof of authority, a description of the infringement, and the location of the copyright infringement on our service. You will need to submit a written statement confirming that the copyright holder did not authorize the use of the copyrighted material, that all provided information is truthful, and that you are the legal owner of the copyright or the authorized representative of the owner. Additionally, you will need to provide your contact details and the contact details of the copyright holder.

We guarantee our maximum cooperation in restoring your copyright. In the event of a repeated infringement, we will remove the account responsible for the infringement.

13. DISCLAIMER OF LIABILITY BY SUNDATE

SunDate provides the service as is, in all its beauty and with all its flaws. The SunDate team strives to ensure that the service complies with applicable laws, but does not guarantee it. SunDate Inc. makes no warranties regarding the service and its compliance with anything, including no warranties of quality, commercial or other value, suitability for any purpose, or non- infringement of rights. SunDate does not guarantee that the service will be uninterrupted, secure, error-free, or free of glitches and defects, nor does it guarantee that defects and errors will be corrected, although we will attempt to address them. SunDate Inc. does not guarantee that the information you receive from the service is truthful and accurate.

Regarding content, SunDate Inc. is not responsible for any content that you, other users, or third parties post, upload, view, or access through the service.

You are solely responsible for the consequences of uploading, viewing, or posting content on our service and for any other actions you take with content at your own risk.

14. ENGAGEMENT OF THIRD-PARTY ORGANIZATIONS AND THEIR SERVICES

SunDate may contain advertisements or announcements from third parties, who may offer you their goods or services; however, we are not responsible for the existence and quality of such goods or services, or the integrity of these third parties. SunDate is not responsible for the availability, unavailability, or accuracy of external websites and resources that are provided to you by third parties. If you choose to interact with such third parties while using our service, we are not responsible for the actions of such parties, and your relationships with them are governed by their internal documents.

We encourage you to be cautious when interacting with third parties and to review the terms of use of such third parties.

15. LIMITATION OF LIABILITY BY SUNDATE

The SunDate Inc. and our team, in accordance with applicable local, federal, and international laws, as well as its employees, affiliates, partners, licensors, or third-party service providers, SHALL NOT BE LIABLE for any damages, including indirect, consequential, incidental, or punitive damages, any loss of profits or revenue, data or information loss, damage to your reputation, health, or any other harm, or any other intangible losses incurred as a result of your access to or use of, or inability to use or access the SunDate service, or as a result of other subscribers or third parties posting certain content or engaging in any other activities related to our service, or due to unauthorized access, use, copying, or modification of your content, even if the SunDate team was or could have been aware of the possibility of such damages. The liability of SunDate Inc. in any case shall not exceed the amount you paid for using our service.

The above limitations of our liability apply only to the extent they do not directly conflict with the applicable laws of a given jurisdiction.

In any case, if you have any claims, we are always happy to resolve them amicably and with the utmost care for our clients, our users, our family.

16. ARBITRATION CLAUSE

Dear users, this is a very important part of these Terms of Service, and we ask you to review it carefully. By downloading our service and starting to use SunDate, you automatically agree to this Arbitration Clause.

We are a young team that strives to make the SunDate world as comfortable, interesting, engaging, efficient, and most importantly, safe for all users. We are not immune to mistakes, and if you believe that we have somehow violated your rights and legitimate interests, and you wish to seek redress, we ask that before contacting lawyers and going to court, you first contact us through social media or email provided on our official website:

You and we agree to make every effort to resolve any issue or conflict amicably before resorting to litigation, and you agree to contact us and attempt to resolve the conflict peacefully.

If a peaceful resolution is not possible, this Arbitration Clause applies.

All disputes in all jurisdictions where this Arbitration Clause is applicable must be resolved at the JAMS Center for Arbitration, Mediation, and Alternative Dispute Resolution in accordance with their Arbitration Rules, considering all requirements of this clause.

Disputes in this arbitration will be heard by a single arbitrator chosen from the list of JAMS arbitrators. JAMS provides arbitration services but does not conduct the proceedings. You and we waive oral hearings, so the arbitrator may render a decision based on written submissions and evidence. After a decision is rendered, SunDate Inc. has the right to file a counterclaim or appeal.

You also agree not to participate in, support, or be a party to any class actions, class arbitrations, or other representative actions, proceedings, or activities against SunDate Inc.

You also waive your right to go to court to file a claim or lawsuit, except if the matter falls under the jurisdiction of a small claims court. As mentioned earlier, you also waive your right to participate in class actions and other class litigations.

If the case cannot be heard in a small claims court or the aforementioned JAMS arbitration, or if this Arbitration Clause is found to be invalid, any litigation against SunDate Inc. may only be initiated in the federal courts of the United States or state courts located in Kent County, Delaware. You unconditionally consent to and agree to the jurisdiction of these courts.

17. APPLICABLE LAW

The applicable law for all jurisdictions is the law and legislation of the State of Delaware, USA, excluding the principles and rules of Delaware's law of conflict of laws.

18. DISPUTE RESOLUTION AND COURT JURISDICTION

As mentioned earlier, all disputes should be resolved through JAMS. If, for any legal reason, this is not possible, disputes should be resolved in a small claims court. If this is also not possible for legal reasons, all disputes must be resolved exclusively in the federal courts or the court of Kent County, Delaware. You and SunDate agree to the jurisdiction of the aforementioned courts and waive any claims of a lack of a close connection between the place of dispute resolution and the dispute itself.

For users residing in the European Union or the European Economic Area, as well as other countries outside the USA, including the homeland of our project, our beloved Ukraine, this arbitration clause also applies, except where it directly contradicts your local and international consumer protection laws. If this arbitration clause is not applicable and is found to be invalid, international consumer protection laws and other applicable international norms, including your local laws, if they do not conflict with international norms, will apply.

19. USER WARRANTIES

You agree to indemnify and hold harmless SunDate Inc., our partners and affiliates, our employees and officers, directors, and agents from any claims, demands, and liabilities. You also agree to reimburse any losses, expenses, damages, and costs, including attorney’s fees, arising in connection with your access to or use of the SunDate service, your content, or any violation by you of these SunDate “Terms of Service”.

20. MISCELLANEOUS

SunDate “Terms of Service” as a legal agreement, also include documents such as: SunDate Oath to Users, SunDate Cookie Policy, SunDate Privacy Policy, SunDate Code, and any other terms and agreements that are open and available to you, agreed upon at the time of purchasing or receiving additional features, services, and other products within our service. Together, all the above documents constitute a valid agreement and contract between you and SunDate Inc. regarding the use of our service.

If any part of this agreement or other above-mentioned documents is found to be invalid, only that part deemed invalid will lose its effect, while the rest of the agreement and documents remain valid and in force.

If, for any reason, we decide not to enforce a particular provision of this agreement or any of our rights on a one-time basis, it does not mean that such provisions or rights lose their effectiveness. Such provisions, norms, and rights may be enforced by us at our discretion in the future.

You agree that your SunDate account is exclusively yours and cannot be transferred to other person under any circumstances. In case of your death, rights to your account, content, and other information will be terminated.

You do not have the right to act on behalf of SunDate Inc., make statements on our behalf, or assume obligations on behalf of SunDate Inc.

Furthermore, this agreement and other above-mentioned documents do not create any joint ventures, employment, agency, partnership, fiduciary, or any other relationships.

21. FINAL WORDS BY SUNDATE TEAM

Dear user, the SunDate team thanks you in advance for taking the time to review this and other documents that we have diligently prepared to protect your and our rights and interests.
